Position Summary
The Senior Vice President & General Counsel (GC) is an Officer of the American Public Media Group family of companies and serves as the secretary or assistant secretary to each of its three governing boards. The GC acts as trusted confidant, advisor and strategic partner to the Chief Executive Officer and peers in senior management, offering effective advice on company strategies and their implementation. The GC will demonstrate the strategic business agility to lead and/or support corporate initiatives, oversee APMG's Government Relations activities, manage the internal legal function and direct the work of outside counsel. Reporting directly to the President and Chief Executive Officer, the GC will be directly involved in complex business transactions including the negotiation of critical contracts.

The Senior Vice President & General Counsel is a Staff Officer of Minnesota Public Radio.

Key Responsibilities:
Leadership and Management

  • Demonstrate the highest degree of confidentiality, discretion, integrity, ethical decision-making and sound business judgment to be an effective, trusted confidant to the President.
  • As part of the Executive Leadership Team (ELT), participate in the development of strategic long-term and annual plans for the Organization.
  • Manage financial performance, budgets and Key Performance Indicators (KPI) of all activity within the Office of the General Counsel.
  • Structure the Company's internal legal function and manage, develop and coach its staff. Select, retain, manage and evaluate all outside counsel.
  • Deliver outstanding legal counsel and services tointernal constituents, demonstrating the agility and pragmatism needed to meet APMG's
    changing business needs.
  • Ensure cost effective management of legal resources.
  • In partnership with HR, hire, supervise and train staff through coaching, mentorship, performance meetings and on-going feedback. Foster a creative, productive and trusted work environment.
  • Manage existing relationships with labor unions in a positive, proactive and non-adversarial manner. Advise leadership on union avoidance strategies when needed.

Advise and support a variety of strategic and operational issues to include:

- corporate planning and risk management; provide assistance on strategic alliances, partnerships, contracts and other activity as necessary.
- legal aspects of the Company's financing, including assessing and advising on current and future business structures and legal entities.
- exposure to contingent liabilities associated with pending or threatened litigation, recommending precautions and contingent plans as appropriate.
- working closely with SVP, Business Development to review advertising, marketing and fundraising materials to ensure compliance with legal requirements.
- providing discrete counsel on legal issues to executive management and the board of directors.

Legal and Compliance

  • Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters.
  • Serve as lead counsel and legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.
  • Judge the merits of major court cases filed against or on behalf of the Company, work with the appropriate executive(s) to define a strategic defense and recommend settlements of disputes where warranted.
  • Ensure that APMG conducts its business in compliance with applicable industry laws and regulations.
  • Research various legal issues impacting the Organization by identifying applicable statutes, judicial decisions, codes and industry laws, rules and regulations.
  • Perform pre-litigation work to minimize risks and maximize legal rights. Develop solutions to complex legal questions.
  • Lead and/or support negotiating, writing, reviewing, summarizing, researching and executing a wide variety of agreements for companies and clients, including marketing agreements, entertainment agreements, labor contracts, license agreements, real estate leases, confidentiality agreements and other general business contracts.

Governance

  • As secretary or assistant secretary of the various boards, provide significant support to the boards, including the preparation of board books, resolutions, minutes and matters concerning governance.
  • Provide reports on a regular basis to executive management, senior managers, board subcommittees and the full board of directors.
  • Review and recommend changes to insurance coverage in conjunction with the CFO, executive management and or the Board.
  • Serve as custodian for original insurance policies. Responsible to tender claims and monitor claims process, in cooperation with CFO.
  • Serve on the Employee Retirement Investment Committee and on the Employee Benefits Committee.

External Affairs

  • Develop and manage external relationships. Represent APMG to partners, vendors and constituents.
  • Oversee all the Government Relations activities of the Organization, working with the Managing Director of Public & Reg. Affairs and with outside public affairs counsel.
  • Keep abreast of, and work to shape, legislative changes that may affect the Organization and the industry. Work with regulatory agencies as necessary.
  • Serve as a liaison between MPR, APMG and Prairie Home Productions on the Master Agreements and contractual relationships.

This person will be expected to take on other duties as are appropriate to this office and as the President may authorize or direct.

Ideal Candidate Profile

  • Qualified candidates will have a Juris Doctor's degree and be licensed to practice law in Minnesota.
  • 15+ years of relevant legal experience is required, with significant knowledge of intellectual property (IP) law
    including patent law, licensing of IP rights and IP due diligence.
  • Knowledge of securities, antitrust, unions, computer law, privacy, Sarbanes-Oxley and other relevant legislation is required.
  • Advanced experience working on matters of corporate governance and with a board of directors is essential.
  • Professional experience in both the for-profit and nonprofit sectors is preferred, as is an understanding of how nonprofit missions drive an organization and its employees.
  • Knowledge and understanding of broadcasting (radio and TV, commercial and public), interactive media (including mobile, digital and social platforms), publishing, direct marketing and/or other electronic information and emerging communication technologies is highly desired, as is an understanding of public service and business opportunities for emerging distribution platforms.
  • Executive leadership experience, as well as general management experience (preferably in the broadcasting, Internet, telecommunications or other media service industry) is required including the ability to lead changes in behavior and culture within teams and across the Organization. This also
    includes proficiency in the elements of management dashboards, key business drivers, financials, organizational structures and systems, as well as an understanding of how to align areas of responsibility to achieve goals and how to get things done in a complex organizational setting.
  • This person must havedemonstrated the ability to obtain results through others by fostering high standards; coaching, developing and leading diverse teams; demonstrating cultural competence; and fostering a culture of inclusion and respect.
  • Additionally, the skillset of an astute business partner, confidante and collaborative member of the executive leadership team is required, as is the ability to build trust, communicate effectively and contribute to organization-wide planning and decision-making.
  • This person must be comfortable, confident and willing to take a stand when needed; to anticipate and act with urgency on events and opportunities that advance the Organization; and to take personal ownership and responsibility for achieving results.
